Abstract: The increasing use of artificial intelligence is impacting corporate governance, leading to changes in the legal position of company directors. This paper discusses two significant changes to the legal positions of directors caused by the development of artificial intelligence. Firstly, the use of artificial intelligence places an obligation on directors to acquire new knowledge and encourages them to apply AI. Secondly, the rise of artificial intelligence has introduced the concept of robo-directors. The legal regulation of this type of appointment is not yet established as robot directors lack legal personality. The paper analyzes the potential for appointing robo-directors in the future and considers whether they can be appointed as independent directors in companies. Additionally, the paper will examine the appointment of robo-directors in some companies and address legal questions and dilemmas related to establishing liability for business decisions made using artificial intelligence. The main question of that would be can the robo-directors be appointed like the independent directors in the companies? The author also will analyze the appointments of the robo-directors in some companies. This paper, also, it will be process the legal questions and dilemmas about establishing the liability for the business decisions adopted by the using the artificial intelligence. In this paper, the author will look back on adopting the first regulation in this field, Regulation (EU) 2024/1689 of the European Parliament, and of the Council laying down harmonized rules on artificial intelligence, which can influence Serbian regulations in the future.
